Course Overview

This one day course will focus on fundamental understanding of the private equity and venture capital industry and its fund raising and investment processes through the entire investment cycle from deal origination to exit. This commercially-focused course is highly practical and interactive involving case studies, group work and roundtable discussions. The latest trends and current developments and issues in the private equity and venture capital industry will be discussed.

About the Course Presenter

Dr Keith Arundale BSc, MSc, ARCS, DIC, PhD, FCA, FCIM, FIoD, FInstP, FRSA, is a Senior Visiting Fellow, ICMA Centre, Henley Business School, University of Reading.

He is a lecturer, international trainer and consultant in private equity and venture capital, Keith Arundale is the author of two books on venture capital, 'Raising Venture Capital Finance in Europe' (Kogan Page) and 'Venture Capital Performance' (Routledge) and of the British Private Equity & Venture Capital Association’s 'Guide to Private Equity'.

Dr.Arundale is a member of the BVCA Research Advisory Group and was formerly with PwC where he led the venture capital programme and business development for the Global Technology Industry Group in Europe.

Learning Outcomes

By the end of the course, it is expected that delegates will be able to:

  • Explain the different strategies used by private equity and venture capital funds, the relationship between the general partner and the limited partners, the fund raising process, including the contents of a private placement memorandum and the basic terms and conditions of a limited partnership agreement.
  • Explain the private equity investment process and how private equity and venture capital firms assess, structure and monitor their deals for both venture capital deals and management buyouts, including conducting initial and external due diligence, the valuation and structure of deals and the negotiation of offer letters (term sheets) for the investment.
  • Prepare a business plan for the purpose of raising finance and explain how a venture capital investment executive goes about evaluating a business plan.
  • Describe the principal exit routes, including trade sales and IPOs, with the pros and cons of each route to exit, and how private equity firms and venture capital firms measure and make a return on their investments.
